Over the last ten years the interest in corporate governance has been evidenced by articles and publications both in Britain and the US. Corporate governance and its reappraisal are linked with the concept of business ethics, their prerequisite which has also been in the headlines in the wake of various scams. Both concepts enhance the part firms play in our societies through their stakeholders or constituencies (managers, directors, shareholders, customers and society). This part was first expounded in the Cadbury Report, then by the American Law Institute. Associations such as the Minnesota Center for Corporate Responsibility, the Caux Round Table, among others, joined in the debate. This has become a moot point and is now global in the attempts to implement Rousseau's volonté générale.
