Phénomène récent, les initial coin offerings (ICO) sont un mode de levée de fonds encore naissant, mais qui tend à se structurer, permettant l’émergence et le financement de nouvelles entreprises de secteurs technologiques et innovants. L’analyse du marché mondial met en avant le caractère encore marginal de ce mode de financement, mais également la création d’une nouvelle forme d’engagement dans un projet d’entreprise qui attire des investisseurs dont le nombre dépasse désormais le cercle fermé des spécialistes. L’analyse des projets d’ICO françaises, à l’aide d’une base de données originale, souligne l’intérêt croissant de ce mécanisme de levée de fonds par certains porteurs de projets, qui semblent plébisciter la possibilité de faire appel à une communauté d’investisseurs internationaux et l’introduire en sus d’autres canaux de financement plus traditionnels. Aux vues des risques liés à ce type d’investissement, l’article présente enfin la solution d’encadrement incitatif française, le visa optionnel des émissions de jetons délivré par l’Autorité des marchés financiers (AMF). A recent phenomenon, initial coin offerings (ICOs) are a fundraising method that is still emerging but is beginning to take shape, allowing the emergence and the financing of new companies in technological and innovative sectors. The analysis of the global market highlights the still marginal nature of this method of financing, but also the creation of a new form of commitment in a business project that attracts investors whose number now exceeds the closed circle of specialists. The analysis of French ICO projects, using an original database, highlights the growing interest of this fundraising mechanism by some project initiators, who seem to welcome the opportunity to call on a community of international investors and introduce this method along with other, more traditional methods of financing. In view of the risks associated with this type of investment, the article finally presents the French incentive framework, the optional visa for token issues issued by the Autorité des marchés financiers (AMF).
