The purpose of this work is to show how the theorical and practical problems connected with the analysis or R&D and the management of knowledge can conduct to a reconsideration of the basic questions of the theory of the firm. In that perpective, we try to exhibit the specificities of R&D and of his organizational forms and the theorical approach that can explain them, then to confront them with the dominant ideas on the theory of the firm, in particular with the economics of transaction costs.

L'objet de ce travail est de montrer comment les problèmes théoriques et pratiques touchant à l’analyse de la recherche-développement et la gestion des connaissances peuvent conduire à reconsidérer les questions de base de la théorie de la firme. Pour cela on tente de mettre en évidence les spécificités de la recherche-développement et de son organisation et les approches théoriques qui peuvent en rendre compte, puis de les confronter aux approches dominantes de la théorie de la firme, et notamment à l’économie des coûts de transaction.
