This study aims to examine an example of the expropriation of minority shareholders by majority shareholders. Based on an analysis of official documentation the Hudson’s Bay Company submitted to the Canadian Securities Administrators, its objective is to highlight the shortcomings in the company’s governance in relation to its decision to allow one of its major shareholders to expropriate the minority shareholders. The case of the Hudson’s Bay Company illustrates in particular how the subjugation of directors can facilitate this expropriation.
